Whale Trading Network – Terms of Service

Effective Date: November 28, 2025

1. Acceptance of Terms

By purchasing a subscription, joining Whale Trading Network, or accessing any content published by Whale Trading Network LLC (the "Service"), you acknowledge and agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not access or use the Service. These Terms form a binding agreement between you and Whale Trading Network LLC.

2. Incorporated Policies & Platform Rules

You must comply at all times with Discord’s Terms of Service, Paid Services Terms, Monetization Terms, and Community Guidelines. The Service may be hosted, delivered, and/or accessed via Discord; your use is subject to Discord’s rules in addition to these Terms. Whale Trading Network LLC may also publish a Privacy Policy and Community Rules that are incorporated by reference into these Terms.

3. Definitions

‘Content’ means alerts, signals, research notes, commentary, videos, charts, backtests, and any other materials we publish. ‘Subscriber’ means a person who pays for access to the Service. ‘Impersonal Content’ means content not tailored to any specific individual’s objectives, financial situation, or needs.

4. Service Description

The Service provides access to a private Whale Trading Network community that publishes **impersonal** market research, technical analysis, and algorithmic alerts derived from proprietary indicators. We do not access your brokerage accounts, place trades for you, or provide discretionary management.

5. Educational Purpose & No Personalized Advice

All Content is for educational and informational purposes only. We do **not** provide personalized investment advice or recommendations. Content is **impersonal** and does not consider your personal objectives, financial situation, risk tolerance, or needs. You remain solely responsible for your trading and investment decisions and should consult a licensed financial professional before acting on any information.

6. Registration Status & No Fiduciary Duty

Whale Trading Network LLC is **not** a registered investment adviser, broker‑dealer, or commodity trading advisor, and no advisory, fiduciary, or client relationship is formed through your subscription or use of the Service.

7. Risk Disclosure & Performance Limitations

Trading and investing involve substantial risk of loss and are not suitable for all investors. You may lose all or a significant portion of your capital. Past performance is **not** indicative of future results. Any hypothetical, backtested, or simulated results have inherent limitations and do not reflect actual trading, liquidity constraints, execution slippage, fees, or psychological factors.

8. Conflicts of Interest

We and our personnel may hold positions in instruments mentioned and may trade before or after publication. We will disclose material conflicts where applicable. You should assume we may have positions in covered assets.

9. Subscriptions, Billing & Auto‑Renewal

• (a) Recurring Billing. Paid subscriptions are billed in advance and automatically renew until canceled.
  (b) Clear Disclosure. The checkout page will disclose pricing, billing interval, and auto‑renewal.
  (c) Cancellation. You may cancel at any time through the platform’s billing settings or by contacting support; cancellations take effect at the end of the current term.
  (d) Price Changes. We may change pricing prospectively with prior notice; continued use after the effective date constitutes acceptance.
  (e) Trials/Promotions. Trial periods or promotional terms, if offered, will be disclosed and convert to paid plans unless canceled before the stated deadline.
  (f) Taxes and Fees. You are responsible for applicable taxes.
  (g) Chargebacks. Unauthorized chargebacks may result in immediate suspension. We reserve the right to contest chargebacks with proof of delivery and consent.

10. Refunds

Unless expressly stated otherwise or required by law, all fees are non‑refundable. Where a refund is issued, access may be terminated immediately.

11. User Conduct & Prohibited Activities

You agree to:

• (a) not solicit money, cryptocurrency, or personal financial data from other members;
• (b) not hold yourself out as our agent or provide personalized advice to others in the community;
• (c) not engage in fraud, market manipulation, pump‑and‑dump schemes, or unlawful activity;
• (d) respect intellectual property rights and not redistribute or resell Content without written consent;
• (e) comply with Discord’s Terms, Paid Services Terms, Monetization Terms, and Community Guidelines;
• (f) maintain professional conduct; harassment, threats, or abuse will result in termination;
• (g) use reasonable security practices and protect your accounts, devices, and credentials.

12. Intellectual Property

All Content is owned by or licensed to Whale Trading Network LLC and protected by copyright and other laws. We grant you a limited, non‑exclusive, non‑transferable license to access and view Content solely for your personal, non‑commercial educational use during an active subscription. You may not copy, record, distribute, publish, or create derivative works from the Content without prior written consent.

13. Privacy

We collect and process limited personal information necessary to operate the Service. Your use is also subject to Discord’s data practices. A separate Privacy Policy may be provided and is incorporated by reference. By using the Service, you consent to such processing and to receiving transactional communications.

14. Disclaimers of Warranties

THE SERVICE AND ALL CONTENT ARE PROVIDED ‘AS IS’ AND ‘AS AVAILABLE.’ WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, NON‑INFRINGEMENT, TITLE, AND QUIET ENJOYMENT. WE DO NOT WARRANT UNINTERRUPTED OR ERROR‑FREE OPERATION, TIMELINESS OF ALERTS, OR COMPATIBILITY WITH ANY BROKERAGE OR PLATFORM.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, Whale Trading Network LLC AND ITS OWNERS, DIRECTORS, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOSS OF DATA, OR BUSINESS INTERRUPTION, ARISING FROM OR RELATED TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. NOTHING HEREIN LIMITS LIABILITY FOR FRAUD OR WILLFUL MISCONDUCT.

16. Indemnification

You agree to defend, indemnify, and hold harmless us and our affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Service; (b) your breach of these Terms; (c) your violation of law or third‑party rights; or (d) your content or conduct in the community.

17. Dispute Resolution; Arbitration; Class‑Action Waiver

• (a) Informal Resolution. Before filing a claim, you agree to contact us to attempt informal resolution.
  (b) Binding Arbitration. Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by confidential, binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. Venue shall be Summit County, Ohio, unless otherwise required by law.
  (c) Class‑Action Waiver. YOU AND WE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.
  (d) Exceptions. Either party may seek relief in small‑claims court for qualifying disputes or may seek injunctive or equitable relief for intellectual‑property or misuse of confidential information.
  (e) Opt‑Out. You may opt out of arbitration and the class‑action waiver within 30 days of first acceptance by sending written notice to whaletradingnetwork@gmail.com.

18. Governing Law

These Terms are governed by the laws of the State of Ohio, without regard to conflict‑of‑law rules, except that the Federal Arbitration Act governs the interpretation and enforcement of Section 17.

19. Modifications to Terms

We may update these Terms from time to time. Material changes will be notified via the platform or email. Your continued use after the effective date constitutes acceptance. If you do not agree to modifications, you must discontinue use and cancel your subscription.

20. Suspension; Termination

We may suspend or terminate access immediately for violations of these Terms, unlawful conduct, fraud, or platform abuse. Upon termination, Sections that by their nature should survive (e.g., intellectual property, disclaimers, limitation of liability, arbitration, governing law) shall survive.

21. Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, financing, or sale of assets.

22. Severability; Waiver

If any provision is held invalid or unenforceable, it shall be severed and the remaining provisions shall remain in full force. No waiver of any term shall be deemed a further or continuing waiver.

23. Force Majeure

We shall not be liable for delays or failures due to events beyond our reasonable control, including acts of God, labor disputes, internet failures, platform outages, cyberattacks, or governmental actions.

24. Entire Agreement

These Terms, together with incorporated policies and notices, constitute the entire agreement between you and us regarding the Service and supersede prior or contemporaneous agreements on the subject matter.

26. Anti-Impersonation Policy

Whale Trading Network LLC staff will NEVER request payment, cryptocurrency, or personal financial details via direct message (DM) or any unofficial channel. All payments for subscriptions and services must be completed exclusively through our official payment processor, Stripe, at the designated checkout URL provided by our Membership Bot. Members are strictly prohibited from sending funds to any individual claiming to represent Whale Trading Network LLC outside of the official Stripe checkout process. If you encounter any impersonation attempt or suspicious activity, you must report it immediately in the designated #report-fraud channel or by contacting support at whaletradingnetwork@gmail.com. Whale Trading Network LLC disclaims liability for losses resulting from payments made outside the official Stripe checkout portal.
